Consignment Agreement

THE AGREEMENT
Luxe & Learn is in the business of selling women’s clothing, shoes, accessories, and handbags. The Consignor (You) wishes to consign items with Luxe & Learn (We, Us, or Our), and Luxe & Learn wishes to receive and sell the consigned items, on the terms and conditions outlined in this Consignment Agreement.
The parties agree as follows:
1. WHAT IS ACCEPTED
1.1. Fresh and Clean. The Consignor agrees that all consigned items provided by the Consignor will be in good condition, laundered, odorless, spot-free, and folded/packaged neatly and ready to be received by Luxe & Learn. We do not repair or clean items. If items do not meet the “good condition, spot-free” agreement, the Consignor will be subject to return shipping fees or the Consignor agrees to allow Luxe & Learn to sell the item with profits donated to educational programs.
1.2. Refusing Items. Luxe & Learn reserves the right to refuse any consigned items received by the Consignor deemed as an “Unsuitable Item” or “Unauthenticated Item” at the sole discretion of Luxe & Learn. If Luxe & Learn deems a consigned item to be an “Unsuitable or Unauthenticated Item”, they will notify the Consignor within seven to ten (7-10) business days of receiving and will provide the Consignor, at such time, the option to either:
- Request that Luxe & Learn apply the Unsuitable Item and allow the profits to be donated, or
- Request that Luxe & Learn return the Unsuitable Item by a carrier designated by Luxe & Learn to the Consignor. If the Consignor elects to donate their item they acknowledge and agree that they have relinquished the profit when the item sells. The Consignor acknowledges and agrees that Luxe & Learn may donate the Unsuitable Item if it has not been sold in a manner determined by Luxe & Learn in its sole discretion, without further liability or obligation to the Consignor.
1.3. Sizing and Seasons. Luxe & Learn accepts women’s clothing up to size 12 and shoes in the corresponding sizes. Luxe & Learn accepts items for every season all year round (please see consignment period paragraph 3).
1.4. Quantity of Items. Luxe & Learn will accept up to 20 items and no more than 20 items per month from the Consignor. Luxe & Learn has the right to refuse to take inventory if space is limited or full.
2. HOW IT WORKS
2.1. Consignment Shipping. Upon creation of a consignor account, The Consignor will receive a pre-paid USPS shipping label via email. The Consignor may drop off items at USPS for delivery to Luxe & Learn.
2.2. Process of Selling Items. Luxe & Learn will receive and photograph all items and enter them into our inventory management software. Luxe & Learn will then contact the Consignor to set up a store account, if this has not already been completed, and share the approved consigned items, along with the Consignor's contact details. It is the responsibility of the Consignor to update Luxe & Learn on any changes to their contact details.
Luxe & Learn will price items (refer to paragraph 5, Pricing), list them on our website, and advertise the store. Items may take up to 3 months to become inputted and live on our website. Please refer to paragraph 3, Consignment Period.
Once an item has sold, the Consignor will receive a commission based on the current Commission Chart which can be paid out via e-transfer or used for store credit per the Payment terms as set out in Paragraph 6 of this Agreement.
3. CONSIGNMENT PERIOD
Luxe & Learn accepts consigned items for all seasons, year-round. Luxe & Learn reserves the right to hold the consigned items for a period of 3 months before advertising for sale. For this Agreement, the first day the consigned item(s) are advertised for sale by Luxe & Learn will be defined as the “Stock Date”.
4. TERMINATION
You and We may each terminate this Agreement in writing at any time, for any reason. Termination will be effective on the date of such notice and any applicable costs relating to the return of Consigned Property listed under “What is Accepted” in Section 1(1.1) will apply.
At Luxe & Learn, We truly value Our customers and are committed to providing a safe, respectful, and positive experience for You, as well as for the members of Our team. We reserve the right, in our sole discretion, to deny or terminate access to Our services for any customer who engages in disrespectful and threatening behavior.
(ii) If a consigned item is not sold within three hundred sixty-five (365) days of the Stock Date it will be deemed a “Terminated Item” and this Agreement will automatically terminate (“Termination Date”) at which point the Consignor has the option to either:
- Request that Luxe & Learn donate the items to a charity of Luxe & Learn’s choosing, or
- Request that Luxe & Learn return the item by a carrier designated by Luxe & Learn to the Consignor.
If the Consignor has not selected an option within fourteen (14) days of arrangements being made, the Terminated Items will become the absolute property of Luxe & Learn and may be donated, sold, or disposed of at the sole discretion of Luxe & Learn without further obligation or liability to the Consignor.
(iii) Before the Termination Date, the Consignor may remove a consigned item from the Consignor’s account at the Consignor’s request, subject to a $5.00 processing fee for each consigned item removed. If all items are removed from the Consignor’s account, this Agreement will automatically terminate. 5. PRICING
Luxe & Learn reserves the right to determine the prices for the consigned items, at its sole discretion. Luxe & Learn will consider comparing prices of similar items and of similar quality and condition when pricing and using an internal pricing guideline. Most items will be 20% - 60% of the original ticket price. Any consigned items that remain unsold ninety (90) calendar days following the “Stock Date” will receive a markdown of 15%. Any Consigned Items that remain unsold one hundred (180) calendar days following the “Stock Date” will receive another markdown of 20%. Any Consigned Items that remain unsold after 240 days will receive a markdown of 25%. None of the consigned items will be less than $50.00. Luxe & Learn has the right to apply a $0.99 “Administration Surcharge” to all items consigned with us. This fee does not get applied to the Consignor’s payout.
6. COMMISSION AND PAYMENT
This Section describes how Commissions are created and when and how they are paid.
(i) “Commission Window” begins on the first date of the month and ends on the last day of the month that an item is sold. “Net Selling Price” means the price at which an item of Consigned Property is Sold, less applicable discounts and promotions, and excluding taxes and shipping. “Net Sales” means the total amount We received from sales of Your Consigned Property within a Commission Window, less applicable discounts and promotions, and excluding taxes and shipping.
(ii) The amount of commission you receive for each item of Consigned Property that is Sold is found at https://luxeforkids.org/pages/commission-chart (which We may update and modify from time to time).
